1. Introduction & Definitions

These Terms and Conditions ("Terms") govern your use of the services provided by ScholarAssist ("we", "us", "our", "the Company"). By placing an order or using any of our services, you ("the Client", "you", "your") agree to be bound by these Terms in full. If you do not agree with any part of these Terms, you must not use our services.

In these Terms, the following definitions apply:

"Service" means any academic consultancy service offered by ScholarAssist, including but not limited to research guidance, writing assistance, proofreading, editing, statistical analysis, and related academic support.

"Client" means the individual or entity who places an order with ScholarAssist and agrees to these Terms.

"Work" means any written material, research output, analysis, report, or other deliverable produced by ScholarAssist in fulfilment of an Order.

"Order" means a confirmed request for a Service, placed by the Client and accepted by ScholarAssist, which forms a binding contract between the parties subject to these Terms.

These Terms are governed by and should be read in conjunction with the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 where applicable.

2. About Us

ScholarAssist is an academic consultancy company registered in England and Wales. We provide professional academic support services to students, researchers, and professionals across the United Kingdom and internationally.

3. Service Description

ScholarAssist provides academic consultancy services designed to support your learning, research, and academic development. Our services include, but are not limited to:

(a) Research Guidance: Assistance with research design, methodology selection, literature review strategy, and academic research planning.

(b) Writing Assistance: Model essays, dissertations, reports, and other academic documents prepared to your specified requirements, intended to serve as reference material and learning aids.

(c) Proofreading & Editing: Review and correction of grammar, spelling, punctuation, formatting, referencing, and overall clarity of your existing written work.

(d) Statistical Analysis: Data analysis, interpretation of results, and guidance on the use of statistical methods and software appropriate to your research.

(e) Other Academic Support: Tutoring, presentation preparation, and any other academic consultancy services as agreed between the parties.

All services are provided with reasonable care and skill in accordance with the Consumer Rights Act 2015. The specific scope, requirements, and deliverables for each Order shall be agreed upon prior to commencement of work.

4. Fair Use & Academic Integrity

All Work delivered by ScholarAssist is provided strictly as model, guide, or reference material. Our services are designed to assist you in your own learning and academic development.

The Client acknowledges and agrees that:

(a) The Work is not intended to be submitted, in whole or in part, as the Client's own work to any educational institution, examination body, or other academic authority.

(b) It is the Client's sole responsibility to use the Work ethically and in full compliance with their institution's academic integrity policies, honour codes, and any applicable regulations.

(c) ScholarAssist does not condone, encourage, or facilitate academic dishonesty, plagiarism, or contract cheating in any form.

(d) The Client shall use the Work only for the purposes of research, learning, reference, and personal academic development.

(e) Any misuse of the Work by the Client is entirely at the Client's own risk. ScholarAssist accepts no responsibility for any consequences arising from the Client's misuse of the Work, including but not limited to academic penalties, disciplinary proceedings, or expulsion.

By placing an Order, you confirm that you have read, understood, and agree to abide by this Fair Use policy.

5. Ordering Process

Orders may be placed through the following methods:

(a) Via our website at www.scholarassist.co.uk by completing the order form with your requirements.

(b) Via email to info@scholarassist.co.uk with a detailed description of your requirements.

(c) Via direct communication with a ScholarAssist representative.

Upon receiving your enquiry, we will review your requirements and provide a written quote detailing the scope of work, price, estimated delivery date, and any other relevant terms. This quote does not constitute a binding offer.

A binding contract is formed only when: (i) you accept the quote by confirming your Order in writing (including by email or through our website); and (ii) we send you an Order Confirmation acknowledging receipt and acceptance of your Order. You will receive an Order Confirmation via email, which will include your unique order reference number.

We reserve the right to decline any Order at our sole discretion, including where the requirements fall outside our areas of expertise, where the deadline is not feasible, or where we believe the intended use may conflict with our Fair Use policy.

It is your responsibility to provide accurate, complete, and timely information and materials necessary for the completion of your Order. Delays caused by incomplete or incorrect information provided by the Client may result in extended delivery times and will not entitle the Client to a refund or compensation.

6. Pricing & Payment

All prices quoted by ScholarAssist are in British Pounds Sterling (GBP) unless otherwise stated in writing.

The price for each Order is determined based on the scope, complexity, academic level, word count, deadline, and any special requirements. The agreed price will be confirmed in writing in your quote and Order Confirmation.

Payment Methods: We accept payment via the following methods:

(a) Visa
(b) Mastercard
(c) PayPal
(d) Bank Transfer (BACS/Faster Payments)

Payment Schedule: Unless otherwise agreed in writing, full payment is required before the commencement of work. For larger projects (typically exceeding £500), payment may be structured in instalments as follows: a deposit of 50% of the total price upon Order Confirmation, with the remaining 50% due upon delivery of the completed Work. Alternative instalment arrangements may be agreed upon in writing on a case-by-case basis.

VAT: If ScholarAssist is registered for Value Added Tax (VAT), VAT will be charged at the prevailing rate and will be clearly indicated on your invoice. If ScholarAssist is not VAT-registered, prices quoted are the total amount payable.

Late Payment: If payment is not received by the due date, we reserve the right to suspend work on your Order until payment is made in full. We may also charge interest on overdue amounts at the rate of 4% per annum above the Bank of England base rate, calculated on a daily basis from the date payment was due until the date of actual payment, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.

7. Delivery & Deadlines

Estimated delivery dates are agreed upon at the time of Order Confirmation. We will use reasonable endeavours to deliver the completed Work by the agreed deadline; however, delivery dates are estimates only and time shall not be of the essence unless expressly agreed in writing.

If we anticipate that we will be unable to meet the agreed delivery date, we will notify you as soon as reasonably practicable and propose a revised delivery date. If the revised date is not acceptable to you, you may be entitled to cancel the Order in accordance with Section 10 of these Terms.

Extensions: If you require changes to the scope, requirements, or specifications of the Work after the Order has been confirmed, this may result in an extension to the delivery date and/or an adjustment to the price. Any such changes must be agreed in writing by both parties.

Force Majeure: ScholarAssist shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to: natural disasters, epidemics or pandemics, acts of government or regulatory authority, war or civil unrest, strikes or industrial action, failure of telecommunications or IT infrastructure, power outages, or any other event constituting force majeure under English law. In such circumstances, the delivery date shall be extended by a period equal to the duration of the force majeure event. If the force majeure event continues for more than thirty (30) days, either party may terminate the Order by giving written notice to the other party, and you shall be entitled to a refund for any work not yet completed.

8. Revisions & Amendments

We are committed to delivering Work that meets the specifications agreed in your Order. If the delivered Work does not meet the original requirements as set out in the Order Confirmation, you are entitled to request revisions free of charge.

Free Revisions: Revision requests must be submitted in writing within fourteen (14) days of the delivery of the completed Work ("Revision Period"). Free revisions are limited to changes that fall within the original scope, specifications, and requirements of the Order. There is no limit to the number of free revision requests within the Revision Period, provided they remain within the original scope.

Additional Revisions: Revision requests submitted after the expiry of the Revision Period, or revisions that fall outside the original scope of the Order (including changes to the topic, academic level, word count, or methodology), shall be treated as additional work and will be quoted and charged separately.

Revision Turnaround: We will use reasonable endeavours to complete revision requests within a timely manner. The estimated turnaround time for revisions will be communicated upon receipt of the revision request and will depend on the nature and extent of the changes required.

9. Intellectual Property

Upon receipt of full and cleared payment for the Order, all intellectual property rights in the completed Work, including copyright, shall transfer to the Client. This transfer is subject to the Fair Use provisions set out in Section 4 of these Terms.

Until full payment has been received and cleared, all intellectual property rights in the Work shall remain the exclusive property of ScholarAssist. We reserve the right to withhold delivery of the Work until full payment has been made.

ScholarAssist retains the right to use anonymised and non-identifiable portions of the Work for internal quality assurance, training, and portfolio purposes, unless you expressly request otherwise in writing at the time of placing your Order.

The Client warrants that any materials, data, or content provided to ScholarAssist for the purposes of completing the Order do not infringe the intellectual property rights or any other rights of any third party.

10. Cancellation & Cooling-Off Period

Statutory Cooling-Off Period: In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, if you are a consumer, you have the right to cancel your Order within fourteen (14) days from the date of Order Confirmation without giving any reason ("Cooling-Off Period"). To exercise your right of cancellation, you must inform us of your decision by a clear written statement (e.g., by email to info@scholarassist.co.uk or by post). You may use the model cancellation form available on our website, but it is not obligatory.

Cancellation After Work Has Commenced: If you have expressly requested that work begins during the Cooling-Off Period, and you subsequently cancel, you shall be liable to pay for the work already completed up to the point of cancellation. The amount payable will be calculated on a pro-rata basis relative to the total price agreed for the Order. If no work has commenced at the time of cancellation, you will receive a full refund.

Cancellation After the Cooling-Off Period: If you wish to cancel your Order after the expiry of the fourteen (14) day Cooling-Off Period, the following terms apply:

(a) If less than 25% of the Work has been completed, you will be charged 25% of the total Order price to cover administrative and preparatory costs.

(b) If between 25% and 50% of the Work has been completed, you will be charged 50% of the total Order price.

(c) If more than 50% of the Work has been completed, no refund will be issued, and the remaining balance (if any) shall become immediately payable.

Cancellation by ScholarAssist: We reserve the right to cancel an Order at any time if: (i) we are unable to fulfil the Order due to circumstances beyond our reasonable control; (ii) the Client has provided false, misleading, or incomplete information; or (iii) we reasonably believe the Client intends to use the Work in breach of our Fair Use policy. In the event of cancellation by ScholarAssist, you will receive a full refund for any work not yet completed.

11. Refund Policy

Our detailed Refund Policy sets out the circumstances in which you may be entitled to a full or partial refund. Please refer to our Refund Policy page for full details.

Refunds, where applicable, will be processed using the same payment method used for the original transaction within fourteen (14) days of the refund being approved, unless otherwise agreed in writing.

12. Confidentiality

ScholarAssist is committed to protecting the privacy and confidentiality of all Client information. We shall keep all personal data, Order details, and any materials or information provided by the Client strictly confidential and shall not disclose such information to any third party without the Client's prior written consent, except where required by law or regulation.

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For further information on how we collect, use, and protect your personal data, please refer to our Privacy Policy.

Upon request, ScholarAssist can enter into a separate Non-Disclosure Agreement (NDA) with the Client for an additional level of confidentiality protection. Please contact us at info@scholarassist.co.uk if you wish to arrange an NDA.

Our confidentiality obligations shall survive the termination or expiry of any Order and these Terms.

13. Limitation of Liability

Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other matter for which it would be unlawful to exclude or limit liability under the laws of England and Wales.

Subject to the above, ScholarAssist shall not be liable to the Client for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of opportunity, loss of reputation, or any academic consequences arising from the Client's use or misuse of the Work, howsoever arising and whether in contract, tort (including negligence), breach of statutory duty, or otherwise.

Our total aggregate liability to the Client in respect of any and all claims arising out of or in connection with any Order shall not exceed the total amount paid by the Client to ScholarAssist for that specific Order.

ScholarAssist shall not be held liable for any consequences arising from the Client's misuse of the Work, including but not limited to submission of the Work (in whole or in part) as the Client's own work, academic misconduct proceedings, disciplinary action, or any other penalty imposed by an educational institution or other body.

14. Indemnification

The Client agrees to indemnify, defend, and hold harmless ScholarAssist, its directors, officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) The Client's breach of these Terms, including but not limited to the Fair Use policy set out in Section 4.

(b) The Client's misuse of the Work or any Service provided by ScholarAssist.

(c) Any third-party claim arising from the Client's use of the Work, including claims of academic misconduct, plagiarism, or intellectual property infringement.

(d) Any materials, data, or content provided by the Client to ScholarAssist that infringe the rights of any third party.

This indemnification obligation shall survive the termination or expiry of these Terms and any Order.

15. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or in connection with these Terms or any Order ("Dispute"), the parties agree to attempt to resolve the Dispute amicably through good-faith negotiation in the first instance.

If the Dispute cannot be resolved through negotiation within thirty (30) days of one party notifying the other of the Dispute in writing, the parties agree to submit the Dispute to mediation administered by a mutually agreed mediator or, failing agreement, a mediator appointed by the Centre for Effective Dispute Resolution (CEDR). The costs of mediation shall be shared equally between the parties unless the mediator directs otherwise.

If the Dispute is not resolved through mediation within sixty (60) days of the appointment of the mediator, either party may commence proceedings in the courts of England and Wales.

Nothing in this Section shall prevent either party from seeking urgent injunctive or equitable relief from the courts of England and Wales where necessary to protect their rights.

16. Governing Law

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to the dispute resolution procedure set out in Section 15.

If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of the country in which you are resident.

17. Severability

If any provision of these Terms is found by any court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification to or deletion of a provision under this Section shall not affect the validity and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

18. Amendments to Terms

ScholarAssist reserves the right to amend, update, or modify these Terms at any time. Any changes will be published on our website and will take effect from the date of publication, unless otherwise stated.

Changes to these Terms will not apply to Orders that have already been confirmed prior to the date the changes take effect. The Terms in force at the time your Order was confirmed will apply to that Order.

We encourage you to review these Terms periodically to stay informed of any updates. Your continued use of our services after any amendments constitutes your acceptance of the revised Terms.
